These terms govern your use of the Wemborough platform. By creating an account or using the service you agree to them. Please read them alongside our Privacy Policy.
This document is provided for general information and does not constitute legal advice. We recommend taking independent professional advice on how it applies to your circumstances.
1. About the platform
Wemborough is an online venue that lets sellers list small and medium businesses for sale and lets buyers discover and enquire about them. We provide Acquisition Intelligence, an indicative automated business analysis, to assist early research.
We are not a party to any transaction between buyers and sellers, and we are not a business broker, financial adviser or valuer. We do not give regulated financial or investment advice.
2. Eligibility and accounts
You must be at least 18 and able to enter a contract. You are responsible for keeping your login details secure and for activity under your account.
You agree to provide accurate information and to keep it up to date.
3. Seller obligations
Sellers must ensure listing information is accurate, lawful and not misleading, and must have the right to sell the business advertised.
A one-off listing fee is payable before a listing is published. We charge no commission on any resulting sale.
We may decline, pause or remove listings that breach these terms or applicable law.
4. Listing fees and payments
Listing fees are processed by Stripe and are shown before you pay. Because publication and Acquisition Intelligence are delivered immediately on payment, listing fees are generally non-refundable except where required by law.
An administrator may, at our discretion, adjust or override a listing's status.
5. Acquisition Intelligence disclaimer
The Acquisition Intelligence analysis, verdict and KPI benchmarks are automatically generated, indicative estimates based on the information provided. They are not a formal valuation and not financial, investment, accounting or legal advice.
We do not warrant their accuracy or completeness. You must carry out your own due diligence and take independent professional advice before any transaction.
6. Partnerships and introductions
Where a member indicates they are open to partners, co-founders, advisors, operators or collaborators, Wemborough only facilitates an introduction between members.
We are not involved in, and do not arrange, advise on, manage, or receive any fee in respect of, any investment, share sale or other transaction between members. Any arrangement is solely between the parties, who are responsible for their own due diligence and for taking independent legal and financial advice.
Wemborough is not authorised or regulated by the Financial Conduct Authority and does not provide regulated financial services or investment advice.
7. Buyer responsibilities
Buyers are solely responsible for verifying any business, its figures and its suitability, and for conducting full due diligence. Any decision to contact a seller or pursue a transaction is made at your own risk.
8. Acceptable use
You must not misuse the platform, including by posting unlawful, fraudulent or infringing content, scraping data, attempting to gain unauthorised access, or using contact features to send spam.
9. Intellectual property
The platform, its design and the Acquisition Intelligence output are owned by or licensed to us. By posting a listing, you grant us a licence to host, display and process that content to operate the service.
10. No guarantees
Wemborough is a listing and introduction venue only. We do not guarantee that any listing will result in a sale, that a seller will find a buyer, investor or partner, or that a buyer will find a suitable business. We give no guarantee as to the number of views or enquiries a listing receives, or the price, terms or timing of any transaction.
We do not guarantee the identity, legitimacy, solvency, conduct or suitability of any user, or the accuracy, completeness or currency of any information provided by a user or generated by Acquisition Intelligence. Any introduction is made without endorsement, recommendation or warranty.
The platform is provided on an "as is" and "as available" basis. We do not guarantee that it will be uninterrupted, secure, error-free, or available at any particular time.
11. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect or consequential loss, or for losses arising from transactions between users or from reliance on Acquisition Intelligence. Nothing limits liability that cannot be excluded by law.
12. Termination
You may close your account at any time. We may suspend or terminate access for breach of these terms or where required by law.
13. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
